Why every board should have D&O Insurance

What is Directors & Officers (D&O) Liability Insurance?

Directors & Officers Liability insurance provides coverage for your own “wrongful act” or those of the board of directors.

Why Do You Need Directors & Officers Liability Insurance?

While an organization is legally permitted to cover the costs incurred as a result of personal liability stemming from the activities performed on behalf of the organization, this ability, called indemnification, may not apply to every situation.  The director or officer may be personally liable in their duties performed for the organization.

The basic responsibility of the director is to represent the interest of the organization, their members and their constituents and to do so within the law.  The basic duties of the director are:

1.       DILIGENCE:  Act in the best interests of the organization and it’s members
2.       LOYALTY:  Place the interest of the organization first, and do not use the directors’ position to further private interests
3.       OBEDIENCE: Act within the scope of the by-laws of the organization, governing laws, and other rules & regulations that apply to the organization.

Given this role of a director, it is important to note that you can personally be held liable for claims arising from:

·         Activities of Volunteers and/or staff in the name of the organization
·         Employee discrimination
·         Wrongful dismissal
·         Breach of duties as described above

Claims may be made by:

·         Volunteers
·         Employees (class action negligence – mismanagement, discrimination, sexual harassment)
·         Government Bodies (breach of fiduciary duty)
·         The Entity Itself
·         Current or former directors & officers
·         Suppliers (misrepresentation)
·         Customers
·         The General Public

A directors & officers liability insurance policy helps protect the organization from the financial loss of having to defend, and indemnify any party that suffers an insured loss.  Furthermore, it helps ensure that your personal and business assets are not affected by your participation on a board for a Not For Profit organization.

In order to protect the organization and yourself, the board must:

1.       Examine the operations of the organization and ask what can go wrong, and what harm could result?
2.       Identify practical measures that can be taken to prevent such harm from occurring
3.       If harm does occur, identify the steps that can be taken to lessen the impact of harm, and pay for any resulting damage or losses.

In a survey done by Chubb Insurance Canada, the average payout for a D&O claim in 2010 was $229,756* with nearly 14% of companies surveyed being part of a D&O claim.  It is important to note that defence costs alone can be enough to cripple an organization.

I would highly recommend that every not for profit organization carry a directors & officers liability insurance policy to protect their members.  I’m sure your legal counsel will tell you the same thing, never join a board of directors without the existence of this type of policy.

As there are many different policy wordings available, JWK Insurance would be more than happy to help you navigate coverage options.

Winter Ready Insurance Tips

There are many things Canadians need to do to get ready for winter but there are a few really simple things that can be done to reduce your risk of having an insurance claim.
For auto insurance, it is simple.  Winter tires ARE worth the hype.  Winter tires are made of a compound that will stick to snow and ice.  All season tires become slick and will not grip nearly as well as a good set of winter tires.
Another key tip is to make sure that the entire vehicle is properly cleared of ice and snow prior to driving away.  This will allow for better visability as well as cause less of a distraction to other drivers who will not have the snow from your vehicle flying towards them as they drive behind you on the road.
For home insurance, the big thing related to wood heat.  Make sure that your Solid Fuel heating system is in accordance with WETT (Wood Energy Technical Transfer) standards.  For a list of WETT inspectors and chimney sweeps in your area, check out the website at http://www.wettinc.ca/.  Having your chimeny swept will keep it clear of blockages and keep it clean of creosote, a black tar substance that is know to cause chimney fires.
Any further questions can likely be answered by your local Insurance Broker.

Auto Insurance For Any Driver 905-425-0729 - Why to quote drivers with multiple convictions

Many Insurance Brokerages will avoid quoting clients who have a history of convictions on their driving record or they will give a high quote in order to get the client to search elsewhere.  This remains a mistery to our firm as we understand that sometimes it is just bad luck and sometimes it is lack of educating the public of what these "minor speeding" or "traffic light" convictions can do to your insurance rates.  Often I will hear "it was only a minor speeding, I didn't get any points so why are my rates going up?".  These misconceptions should be explained to clients by their broker in order to stress the importance of keeping the driving record clean of even minor incidents.   At James W. Kloepfer Insurance Broker, we will help you rebuild your credibility amongst the insurance companies.  We feel that you deserve a second chance and with lessons learned, you are now willing to take the traffic laws more serious.  We are able to properly educate our clients on the importance of a clean record and the amount of money they can save once their current convictions come off their record.   Most of the times we find that drivers who have had poor driving records are able to rehabillitate their driving record and continue to drive smart in order to keep their rates low into the future.
